Item 1.01. Entry into a Material Definitive Agreement
On July 24, 2012, Paladin Realty Income Properties, Inc. (the “Company”) entered into a Seventh Amended and Restated Advisory Agreement (the “Amended Advisory Agreement”) with the Company’s operating partnership, Paladin Realty Income Properties, L.P., and the Company’s advisor, Paladin Realty Advisors, LLC. The Seventh Amended and Restated Advisory Agreement, which is effective as of July 28, 2012, expires on July 28, 2013 but otherwise has identical terms to the Sixth Amended and Restated Advisory Agreement between the same parties.
A copy of the Amended Advisory Agreement is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
Item 8.01. Other Events
On July 25, 2012, the dividend committee of the Company declared cash distributions for the month of August 2012. The declared distributions will be calculated based on stockholders of record each day during such month at a rate of $0.0016393 per day and will equal a daily amount that, if paid each day for a 366-day period, would equal a 6.0% annualized rate based on a share price of $10.00. These distributions will be aggregated and paid in cash on September 17, 2012.
