Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.

(b) On July 26, 2012, Harris Corporation (the “Company”) announced that Jeffrey S. Shuman, age 58, will no longer serve as Senior Vice President, Chief Human Resources and Administrative Officer and will leave the Company to pursue other opportunities. To assist in the transition of his duties, Mr. Shuman is expected to continue as a non-executive employee of the Company through August 31, 2012, during which time he will be paid a salary and receive benefits at levels in effect immediately prior to his resignation. It is anticipated that the Company and Mr. Shuman will discuss a mutual separation arrangement in the near future.
