Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 18, 2012, Thomas S. Leavitt gave notice of his resignation as Executive Vice President, Operations of Merchants Bank (the “Bank”) effective as of the close of business on August 3, 2012. Mr. Leavitt is leaving the Bank to become President and Chief Executive Officer of MountainOne Financial Partners. The Bank has accepted Mr. Leavitt’s resignation and extends its appreciation for his sixteen years of dedicated service.
