Item 2.03.  Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

 

On July 12, 2012, Network Engines, Inc. (the “Company”) issued a letter of credit for $20 million with one of its largest suppliers to supplement its existing credit limit with this supplier.  This letter of credit was issued to support the Company’s last time purchases of certain end-of-life platforms, as a result of the EMC transition discussed in the Company’s press release dated April 12, 2012.  This letter of credit expires on September 30, 2012, and may be reduced from time to time based on the amounts outstanding that we owe our supplier.
