Explanatory Note
This Current Report on Form 8-K/A (“Amendment No. 1”) amends the Current Report on Form 8-K filed with the Securities and Exchange Commission on June 12, 2012 (the “Initial Filing”) by The Management Network Group, Inc. (the “Company”).
As reported in the Initial Filing, the Company amended Article VII of its Certificate of Incorporation. This Amendment No. 1 is being filed in order to file a corrected version of Exhibit 3.1. The remaining information previously reported in the Initial Filing is incorporated herein by reference.
