Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) At its meeting on July 11, 2012, the Board of Directors (the "Board") of Texas Industries, Inc. (the "Company") elected Sean P. Foley, Bernard Lanigan, Jr., and Thomas L Ryan as independent directors for terms of office that expire at the Company's 2012 annual meeting of stockholders.
A press release announcing the election and providing biographical information about the new directors of the Company is attached hereto as exhibit 99.1.
