Item 8.01 – Other Events

On July 11, 2012, N-Viro International Corporation issued an information release regarding a contract through its wholly owned subsidiary, Florida N-Viro LP, a four year term inclusive of the initial term and renewals with the City of New Smyrna Beach, Florida for management services. The information release has been attached as Exhibit 99.1 to this Form 8-K.
