EXPLANATORY NOTE
This Amendment No. 1 to Current Report on Form 8-K/A hereby amends and restates the Current Report on Form 8-K of A. Schulman, Inc. (the “Company”) originally filed with the Securities and Exchange Commission (the "SEC") on July 9, 2012 to furnish the Company's press release announcing its financial results for the quarter and year-to-date periods ended May 31, 2012. This Form 8-K/A corrects a typographical error in the year-to-date May 31, 2011 Reconciliation of GAAP and Non-GAAP Financial Measures contained in the Company's press release. The Reconciliation of GAAP and Non-GAAP Financial Measures contained in the Company's Form 10-Q filed with the SEC on July 9, 2012 and in the PRNewswire Earnings Release were not affected by this typographical error.
ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On July 9, 2012, A. Schulman, Inc. announced earnings for the quarter ended May 31, 2012. A copy of the press release announcing these results is attached as Exhibit 99.1 hereto and incorporated by reference herein.
Pursuant to General Instruction B.2 of Current Report on Form 8-K, the information in this Item 2.02 is being furnished and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liability of that section. Furthermore, the information in this Item 2.02 shall not be deemed to be incorporated by reference into the filings of the Company under the Securities Act of 1933, as amended.
