Item 1.01 Entry into a Material Definitive Agreement.

On July 9, 2012, Core Molding Technologies, Inc. (the "Company") and its affiliate, Corecomposites de Mexico, S. DE R.L. DE C.V., entered into a seventh amendment (the "Seventh Amendment") to that certain Credit Agreement, dated as of December 9, 2008, with KeyBank National Association as a lender, lead arranger, sole book runner and administrative agent (the "Credit Agreement"). Pursuant to the terms of the Seventh Amendment, the parties agreed to extend the commitment for the revolving line of credit to May 31, 2014.

The foregoing description is qualified in its entirety by reference to the Seventh Amendment, a copy of which is attached to this Form 8-K as exhibit 10.1 and is incorporated herein by reference.
