Item 8.01. Other Events.

On July 9, 2012, Amerigroup Corporation (the “Company”) and WellPoint, Inc. (“WellPoint”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated July 9, 2012 (the “Merger Agreement”), by and among the Company, WellPoint and WellPoint Merger Sub, Inc., an indirect wholly-owned subsidiary of WellPoint. In addition, the Company and WellPoint will hold a conference call and simultaneous presentation to investors to discuss the announcement of the Merger Agreement. The full text of the press release is attached hereto as Exhibit 99.1 and the investor presentation is attached hereto as Exhibit 99.2, and each is incorporated herein in their entirety by reference.
