Item 5.07 Submission of Matters to a Vote of Security Holders.

On July 5, 2012, at 9:00 a.m., NetREIT, Inc. (the “Company”) held its recommenced Annual Stockholder Meeting (the “Recommenced Annual Meeting”) originally scheduled to be held on May 18, 2012.
Of the 15,392,215 shares of common stock issued and outstanding and eligible to vote as of the record date of March 30, 2012, a quorum of 8,060,429 shares, or 52.36% of the eligible shares, were present in person or represented by proxy at the Recommenced Annual Meeting. The matters voted upon at the Recommenced Annual Meeting and result of such voting are set forth below based on the information received on the day of the meeting from our vote tabulators, Broadridge Financial Solutions, Inc.

Proposal 2: Ratification of the selection of Squar, Milner, Peterson, Miranda & Williamson, LLP to serve as the Company’s independent auditors for the fiscal year ending December 31, 2012. The voting results were 7,907,432 shares of common stock voting for, 35,731 shares of common stock voting against, and 117,266 shares of common stock abstaining, with no broker non-votes.
