ITEM 5.02 DEPARTURE OF DIRECTOR and OFFICER
Effective June 29, 2012, the Board of Directors accepted the voluntary resignations of Brian Riley, Robert Ryon and Gary Musselman as officers and Directors. Mr. Riley, Musselman and Ryon did not resign over a disagreement with registrant on any matter relating to the registrant's operations, policies or practices.
ITEM 5.02 APOINTMENT OF DIRECTOR and OFFICER
Effective June 29, 2012, the Board of Directors appointed Myron Smith and Roger Story as Directors. Mr. Smith has also been appointed as President and Chief Executive Officer.
