Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
James M. Hagerty will be appointed as Executive Vice President and Chief Lending Officer of The Washington Trust Company (the “Bank”), a subsidiary of Washington Trust Bancorp, Inc. (the “Corporation"), on July 9, 2012.
Mr. Hagerty, 54, joins the Bank from RBS Citizens, N.A., where he served as Rhode Island Regional Manager, Middle Market/Not-for-Profit Lending since 2000. Mr. Hagerty is replacing James M. Vesey who will retire on June 29, 2012, as previously reported.
The terms of his at-will employment arrangement are outlined in the employment offer letter which, is attached hereto as Exhibit 10.1, and incorporated herein by reference.
