ITEM 8.01 – OTHER EVENTS
On June 26, 2012, Heritage Financial Corporation (“Heritage”) issued a press release announcing a special cash dividend of $0.20 per share. The dividend will be paid on July 24, 2012, to shareholders of record at the close of business on July 10, 2012. A copy of the release is furnished herewith as Exhibit 99.1, and is incorporated herein by reference.
