Item 7.01.  Regulation FD Disclosure.

On June 22, 2012, Solera National Bancorp, Inc. (the “Company”) issued a press release announcing that it did not achieve a quorum at the 2012 Annual Meeting of Shareholders held on June 21, 2012, and that the meeting was adjourned to July 19, 2012.  A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.

On June 21, 2012, Solera National Bancorp, Inc. (the “Company”) gave a presentation at the Company’s 2012 Annual Meeting of Shareholders.  The presentation is available on the Company’s website at www.solerabank.com.  Additionally, a copy of the presentation is attached as Exhibit 99.2 and incorporated herein by this reference.
