Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On June 21, 2012, the Board of Directors of Edison International adopted a resolution to amend its Bylaws to clarify that only directors and officers of Edison International are entitled to mandatory indemnification by Edison International and that other persons who are serving as directors or officers of Edison International's subsidiaries at Edison International's request may be indemnified by Edison International, but it is not mandatory.
The foregoing description of the amendments to Edison International's Bylaws is qualified in its entirety by reference to the amended Bylaws, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated by reference herein.
