Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Effective June 15, 2012, Larry B. Garrett, General Counsel and Assistant Secretary, separated from his employment at Farmer Bros. Co., a Delaware corporation (the “Company”). Mr. Garrett may be entitled to certain severance payments and benefits as described in the Employment Agreement, dated as of December 1, 2010 (the “Garrett Employment Agreement”), between Mr. Garrett and the Company, subject to the conditions therein, including execution of a general release of claims against the Company. The Garrett Employment Agreement is described in the section entitled “Executive Compensation-Employment Agreements and Arrangements-Garrett Employment Agreement” of the Company's definitive Proxy Statement pursuant to Section 14(a) of the Securities Exchange Act of 1934, filed with the SEC on October 28, 2011, and is incorporated herein by reference.
