Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in fiscal year.
On June 12, 2012 the Company’s Board of Directors ratified a proposal to amend the Company’s Articles of Incorporation and change its name to Portus Holdings Inc. The proposed amendment was unanimously approved by the Company’s sole shareholder.
The Certificate of Amendment to the Articles of Incorporation were filed with the Nevada Secretary of State on June 14, 2012.
