We have acted as counsel to Astika Holdings, Inc., a Florida corporation (the “Company”), in connection with the filing by the Company of a registration statement on Form S-1 with the Securities and Exchange Commission (the “Registration Statement”) relating to an aggregate of 40,000 shares of the Company’s Series A Convertible Preferred Stock, $ .001 par value per share, to be offered pursuant to the Registration Statement, and 11,000,000 shares of common stock, $ .001 par value per share, which may be acquired upon the conversion of such shares of preferred stock into common stock.
