On June 12, 2012, Net Element, Inc. and Cazador Acquisition Corporation Ltd. issued a joint press release announcing the execution of an Agreement and Plan of Merger. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.
