Item 1.02 Termination of a Material Definitive Agreement.
On May 17, 2012, Healthcare Trust of America, Inc. (the "Company") announced that the Share Repurchase Program of the Company, would terminate subject to the occurrence of a listing of its Class A common stock on the New York Stock Exchange. On June 6, 2012, the Share Repurchase Program terminated pursuant to its terms as a result of the listing.
