Item 7.01 Regulation FD Disclosure

On June 12, 2012, Elizabeth Arden, Inc. (the "Company") announced that it acquired the global licenses and certain related assets for the Justin Bieber and Nicki Minaj fragrance brands from Give Back Brands LLC. The Company also confirmed its fiscal 2012 net sales and earnings per diluted share guidance, excluding any expenses related to this transaction incurred in its fourth quarter of fiscal 2012.
