Item 5.02:  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Effective April 6, 2012, Patrick A. Stayer, formerly the Executive Vice President, Worldwide Sales for Compuware Corporation (“Compuware”), has been reassigned to the position of Chief Sales Officer and General Manager of Mainframe and Corporate Accounts as part of an effort to reorganize sales oversight responsibilities to be more consistent with the new business unit structure.  In his new role, Mr. Stayer no longer performs a policy making function for our worldwide, multiple-product sales organization and is therefore no longer deemed an executive officer of Compuware under the Securities Exchange Act of 1934.
