Item 8.01
Other Events

On June 1, 2012, the U.S. District Court for the District of Minnesota dismissed with prejudice all claims in a purported securities class action lawsuit, captioned Oklahoma Firefighters Pension and Retirement System, Individually and on Behalf of All Others Similarly Situated, v. Capella Education Company, J. Kevin Gilligan, Lois M. Martin and Amy L. Ronneberg, that was filed in June 2011. By dismissing the action with prejudice, the District Court has precluded the plaintiffs from filing an amended complaint in the future.

The information in Item 8.01 of this Form 8-K shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing.
