Item 8.01 Other Events.
On June 1, 2012, Arbor Realty Trust, Inc., a Maryland corporation (the “Corporation”) filed with the State of Maryland Department of Assessments and Taxation Articles of Amendment in order to amend the Corporation’s charter to lower the Common Stock Ownership Limit and Aggregate Stock Ownership Limit from 7.0% to 5.0%. As previously reported on a Form 8-K filed by the Corporation on May 25, 2012, the stockholders of the Corporation approved this amendment to the charter at the Corporation’s 2012 annual meeting of stockholders on May 23, 2012.
