Item 8.01. Other Events
On May 31, 2012, the registrant issued a press release announcing that it has issued a notice of mandatory redemption of all of its 8% Convertible Junior Subordinated Debentures Due 2029 (the "Debentures") and that American Equity Capital Trust I, the holder of all of the Debentures, has issued notices of mandatory redemption of all of its 8% Convertible Trust Preferred Securities and all of its 8% Convertible Trust Common Securities. A copy of this press release is attached as Exhibit 99.1 and is incorporated herein by reference.
