(b)           On May 23, 2012, William C. McCartney provided notice of his intention to retire as Chief Financial Officer of Watts Water Technologies, Inc. (the “Company).  Mr. McCartney has not yet set a retirement date.  The Company and Mr. McCartney are currently in discussions with respect to the terms of a retention agreement pursuant to which Mr. McCartney would remain in the position of Chief Financial Officer until a successor is named and Mr. McCartney would assist with a transition of responsibilities to his successor.

A copy of the Company’s press release announcing Mr. McCartney’s decision to retire is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
