Item 5.07 Submission of Matters to a Vote of Security Holders.

 

The Company held its annual meeting of shareholders on May 22, 2012.  Proxies for matters to be voted upon at the annual meeting were solicited pursuant to Regulation 14 under the Securities Exchange Act of 1934, as amended.  Two proposals were voted upon at the annual meeting.  The proposals are described in detail in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 17, 2012.  The final results for the votes regarding each proposal are set forth below.
