Item 8.01 Other Events.
On May 17, 2012, Naugatuck Valley Financial Corporation (the “Company”) issued a press release announcing that its Board of Directors has declared a quarterly cash dividend of $0.03 per share payable on or about June 15, 2012 to stockholders of record on May 28, 2012. A copy of the Company’s press release is attached to this Report as Exhibit 99.1 and is filed herewith.
