Item 2.02. Results of Operations and Financial Condition
On May 15, 2012, U.S. Home Systems, Inc. (the “Company”) issued a press release reporting results of operations for the first quarter ended March 31, 2012 and the scheduling of a conference call on May 15, 2012 at 4:30 p.m. ET to discuss these results. Additionally, the Company announced that the Board of Directors authorized a quarterly dividend of $0.03 per share payable June 14, 2012 to stockholders of record at the close of business on May 30, 2012. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
