Item 8.01
Other Events.
On May 15, 2012, we advanced $350,000 to Stanford Energy, Inc. (“Stanford”). The Board of Directors has authorized an additional credit line for Stanford to provide up to an additional $500,000 (including the advance of $350,000) with an interest rate of 5% per annum. These advances will be evidenced by an unsecured promissory note dated May 16, 2012, for up to a total of $500,000, which includes the $350,000 advance made on May 15, 2012. The note is due on or before January 31, 2013, and bears interest at the rate of 5% per annum from the date of each advance. A copy of the promissory note is attached as Exhibit 99.1 to this report.
