On May 15, 2012, Synthetic Biologics, Inc., a Nevada corporation (the “Registrant") issued the attached press release that included financial information for its first fiscal quarter ended March 31, 2012. A copy of the press release is attached as Exhibit 99.1 to this Report on Form 8-K.
