Item 7.01.    Regulation FD Disclosure
 
On May 11, 2012, Stereotaxis, Inc. (the "Company") issued a press release (the "Press Release") announcing that it completed its previously announced private offering of common stock and private offering of unsecured, subordinated, convertible promissory debentures for gross proceeds of $18.5 million. The Company also announced the completion of an amendment to its credit agreement with Silicon Valley Bank, extending its revolving credit facility to March 31, 2013. A copy of the Press Release is being filed as Exhibit 99.1 hereto, and the statements contained therein are incorporated by reference herein.
