On May 11, 2012, Realty Capital Securities, LLC, the dealer manager for Phillips Edison-ARC Shopping Center REIT Inc. (the “Company”) sent a letter to broker dealers and financial advisors relating to and attaching the Company’s 2011 annual report and 2012 proxy materials (both of which were previously filed with the Securities and Exchange Commission on March 23, 2012 and April 27, 2012, respectively), a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
