ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

 

On May 8, 2012, the Board of Directors of Covance Inc. (“Covance”) appointed Mr. William Klitgaard, previously Covance’s Corporate Senior Vice President and Chief Financial Officer, to the position of Corporate Senior Vice President and Chief Information Officer and appointed Ms. Alison Cornell to the position of Corporate Vice President and Chief Financial Officer. Ms. Cornell joined Covance in 2004 and has served as Covance’s Vice President — Global Financial Planning and Analysis.  In connection with the promotion, Ms. Cornell’s salary was increased to $400,000 per annum and her bonus target percentage was increased to 70% of base pay.
