Item 2.02. Results of Operations and Financial Condition.

On May 8, 2012, Convergys Corporation (the “Company” or “Convergys”) issued a press release reporting its financial results for the quarter ended March 31, 2012. A copy of the May 8, 2012, press release for the quarter ended March 31, 2012 is furnished as Exhibit 99.1 and incorporated by this reference and will be published on the Company’s website at www.convergys.com. Item 8.01. Other Events.

Today, the Company announced that its Board of Directors declared a quarterly dividend of $0.05 per common share of the Company to be paid out of the Company’s retained earnings on July 6, 2012, to holders of the issued and outstanding common shares of the Company as of the close of business on June 22, 2012.

Today, the Company announced several planned management changes to occur in the third and fourth quarters of 2012. A copy of the press release is attached as Exhibit 99.2.
