Item 8.01. Other Events.

On May 1, 2012, P.F. Chang's China Bistro, Inc. (the “Company”) announced that the Company's Board of Directors authorized a cash dividend payment of $0.275 per share on the Company's outstanding common stock (the “May Dividend”). The May Dividend is payable on May 25, 2012 to shareholders of record at the close of business on May 11, 2012.

Pursuant to the terms and conditions of the Agreement and Plan of Merger (the “Merger Agreement”) among the Company, Wok Parent LLC, a Delaware limited liability company (“Parent”), and Wok Acquisition Corp., a Delaware corporation and an indirect wholly owned subsidiary of Parent, other than the May Dividend, the Company may not declare, accrue, set aside or pay any dividend, make or pay any dividend or other distribution in respect of shares of capital stock of the Company without Parent's written consent.
