Item 3.02
Unregistered Sales of Equity Securities.
From March 20, 2012 through May 1, 2012, Fresh Harvest Products, Inc., a New Jersey corporation (the ”Company”), entered into agreements with certain creditors and consultants of the Company to convert an aggregate of $263,344 owed by the Company to such persons into an aggregate of 430,914,152 restricted shares of the Company’s common stock.
The exemptions from registration for the issuance of the Shares were based on Section 4(2) of the Securities Act of 1933, as amended.
