On May 3, 2012, Northeast Bancorp (the “Company”) issued a press release announcing the commencement of an underwritten public offering of 4,760,000 shares of the Company’s common stock. The Company intends to grant the underwriters an option to purchase up to an additional 15% of the common stock sold to cover over-allotments, if any. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
