Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(e) On April 30, 2012, InnerWorkings, Inc. (the “Company”) entered into an Amended and Restated Employment Agreement with Joseph Busky (the “Agreement”) pursuant to which Mr. Busky will continue to serve as the Company’s Chief Financial Officer. The Agreement, which expires on December 31, 2016, unless earlier terminated, provides that Mr. Busky will receive a base salary of $450,000 per annum. He is also entitled to 12 months of severance pay and accelerated vesting of certain equity awards upon his termination of employment under certain circumstances. The foregoing description of the Agreement is qualified in its entirety by reference to the actual terms of the Agreement, which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
