Item 2.02 Results of Operations and Financial Condition
On May 3, 2012, Hennessy Advisors, Inc. (“Hennessy Advisors”) issued a press release announcing, among other things, the quarterly financial results for the reporting period ended March 31, 2012. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Form 8-K by reference.
Item 7.01 Regulation FD Disclosure
On May 3, 2012, Hennessy Advisors issued a press release announcing, among other things, that it had declared a cash dividend of $0.03125 per share on its common stock, payable June 8, 2012 to shareholders of record at the close of business on May 18, 2012. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Form 8-K by reference.
