Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 29, 2012, Ronald A. Morton, Jr., M.D., F.A.C.S., submitted to GTx, Inc. (the “Company”) his resignation as Vice President and Chief Medical Officer of the Company. Dr. Morton, whose resignation was effective immediately, is stepping down to pursue other interests.
