EVERTEC, LLC AND EVERTEC FINANCE CORP. ANNOUNCE LAUNCH OF CONSENT
SOLICITATION RELATING TO THEIR EXISTING 11% SENIOR NOTES DUE 2018
SAN JUAN, PUERTO RICOApril 30, 2012EVERTEC, LLC (formerly known as EVERTEC, Inc., EVERTEC or the Company) and EVERTEC Finance Corp. (Finance Corp, and together with the Company, the Issuers) today announced the commencement of a consent solicitation (the Consent Solicitation) with respect to the $210.5 million aggregate principal amount of the Issuers 11% Senior Notes due 2018 outstanding as of the record date of April 27, 2012 (the Existing Notes), seeking the consent (Consents) of at least a majority of the aggregate principal amount of all outstanding Existing Notes (the Requisite Consents) to amend the limitation on restricted payments covenant in the indenture governing the Existing Notes (the Indenture) to provide the Issuers with additional dividend capacity of up to $270.0 million (the Proposed Amendment), subject to the terms and conditions described in the consent solicitation statement, dated as of April 30, 2012 (as may be amended or supplemented from time to time, the Consent Solicitation Statement) and the accompanying consent letter.
The Consent Solicitation will expire at 5:00 p.m., New York City time, on May 4, 2012, unless extended or terminated (the Expiration Date). The Issuers reserve the right to terminate or extend the Consent Solicitation in their sole discretion.
On the terms and subject to the conditions set forth in the Consent Solicitation Statement, if the Issuers receive the Requisite Consents and the supplemental indenture effecting the Proposed Amendment (the Supplemental Indenture) is executed and delivered, the Issuers will promptly pay an aggregate consent fee equal to $10.00 per $1,000 principal amount of Existing Notes for which Consents are validly delivered and not revoked on or before the Expiration Date. Once the Supplemental Indenture is effective, any Consents given may not be revoked.
