On April 26, 2012, Pinnacle Entertainment, Inc. (the “Company”) issued a press release announcing that a wholly owned subsidiary of the Company has entered into agreements to execute a series of transactions that would result in the Company owning 75.5% of the equity in Retama Partners, Ltd., the owner of the racing license for Retama Park Racetrack. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
