Item 8.01 Other Events

The Company’s Board of Directors on April 25, 2012 declared a quarterly cash dividend of $0.07 per share on its outstanding common stock. The dividend is payable on May 22, 2012 to shareholders of record as of May 7, 2012. Lake Shore, MHC, which owns 61.2% of the Company’s outstanding common stock as of April 25, 2012 elected to waive its right to receive dividends on its shares of common stock.
