Results of Operations and Financial Condition

Pioneer Natural Resources Company (the “Company”) is furnishing the following update regarding its operations in the Eagle Ford Shale play in South Texas. The Company’s average daily net production from the Eagle Ford Shale play was approximately 22.5 thousand barrels oil equivalent per day (“MBOEPD”) for the first quarter of 2012. The Company’s current daily net production from the Eagle Ford Shale play is approximately 23.5 MBOEPD.
