Item 8.01 Other Events.
On April 19, 2012, AmeriServ Financial, Inc. (the “Company”) announced that its Board of Directors approved an increase in the size of its previously announced stock repurchase program to permit the repurchase of an additional 5% or approximately 1,007,000 shares of its common stock outstanding. The Company also announced the repurchase of 1,045,000 shares of its common stock at $2.47 per share. The repurchase program and the repurchase are announced in a press release which is attached hereto as Exhibit 99.1.
