Item 2.02. Results of Operations and Financial Condition.

On April 16, 2012, we issued a press release announcing that more than 4,900 MaterniT21 PLUS laboratory-developed tests (“LDTs”) offered by Sequenom Center for Molecular Medicine, LLC, our wholly-owned subsidiary, were accessioned during the first quarter of 2012. We also announced that we were increasing our internal goal for total MaterniT21 PLUS LDTs expected to be billed for 2012 to 40,000 tests, up from the original goal of 25,000 tests.

The information in this Item 2.02 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any registration statement or other document filed with the Securities and Exchange Commission, whether filed before or after the date hereof, and regardless of any general incorporation language in any such filing.

These forward-looking statements are based on current information that may change and you are cautioned not to place undue reliance on these forward-looking statements, which speak only as of the date of this Current Report.
