Results of Operations and Financial Condition.

On April 16, 2012, BIO-key International, Inc. (the “Company”) issued a press release announcing its financial results for its fourth quarter, year ended December 31, 2011 and preliminary first quarter 2012 results which is included as an exhibit to a Current Report on Form 8-K. A copy of the press release issued by the Company on April 16, 2012 is attached as Exhibit 99.
