EXPLANATORY NOTE

 

Carolina Bank Holdings, Inc. (the “Registrant”), is filing this Amendment No. 1 to its Current Report on Form 8-K, filed with the Securities and Exchange Commission on March 23, 2012, to amend its response in the third paragraph of Item 4.01 and to furnish an updated Exhibit 16.1 thereto. Exhibit 16.1 is a letter from the Registrant’s former independent accountant indicating its concurrence with the statements made by the Registrant concerning its dismissal as the Registrant’s principal accountant.

 

The items of the Registrant’s Current Report on Form 8-K which are amended herein are:

 

Item 4.01     Changes in Registrant’s Certifying Accountant.

 

On March 20, 2012, the Audit Committee of the Board of Directors of Carolina Bank Holdings, Inc. (the “Registrant”) approved the dismissal of Cherry Bekaert & Holland, LLP (“Cherry Bekaert”) as the Registrant’s independent registered public accounting firm. Cherry Bekaert had been engaged previously as the principal accountant to audit the Registrant’s consolidated financial statements.

 

Cherry Bekaert’s reports on the financial statements of the Registrant for the fiscal years ended December 31, 2011 and 2010 do not contain an adverse opinion or a disclaimer of opinion and are not qualified or modified as to uncertainty, audit scope or accounting principles.

 

During the Registrant’s two most recently completed fiscal years and during the period from December 31, 2011, until March 20, 2012, the date the Audit Committee approved the dismissal of Cherry Bekaert, there were no disagreements with Cherry Bekaert on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure.

 

The Registrant has provided a copy of this current report on Form 8-K/A to Cherry Bekaert and has requested that Cherry Bekaert furnish the Registrant with a letter addressed to the Commission stating whether it agrees with the Registrant’s disclosure contained herein. Cherry Bekaert’s letter, dated April 10, 2012, is filed as Exhibit 16.1 to this report.

 

On March 20, 2012, the Audit Committee of the Registrant’s Board of Directors approved the appointment of Elliott Davis, PLLC as the Registrant’s new independent registered public accounting firm to perform independent audit services for the fiscal year ending December 31, 2012. During the fiscal years ended December 31, 2011 and 2010 and through March 20, 2012, neither the Registrant, nor any other party acting on its behalf, consulted Elliott Davis, PLLC regarding either (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered with respect to the consolidated financial statements of the Registrant, and no written report or oral advice was provided to the Registrant by Elliott Davis, PLLC that was an important factor considered by the Registrant in reaching a decision as to any accounting, auditing or financial reporting issue; or (ii) any matter that was the subject of a “disagreement” (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a “reportable event” (as that term is defined in Item 304(a)(1)(v) of Regulation S-K).
